By accessing or using the AutoApe platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AutoApe is a desktop software application that provides tools for automated and semi-automated trading across cryptocurrency, stock, and forex markets. The Service includes market scanning, trade execution, backtesting, AI-powered optimization, and related features. AutoApe is a tool that facilitates trading — it is not a financial advisor, broker, or investment manager.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information updated.

4. Subscription and Payments

The Service is offered on a subscription basis. Fees are charged monthly or annually based on your selected plan. All payments are processed through Stripe. Subscriptions auto-renew unless cancelled before the end of the current billing period. Refunds are available within the first 30 days of your initial subscription.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse engineer or decompile the software; (c) share your account credentials with others; (d) use the Service to manipulate markets or engage in wash trading; (e) circumvent any usage limits or restrictions of your subscription plan.

6. Trading Risks

Trading in financial markets involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results. You acknowledge that you are solely responsible for all trading decisions made through the Service. AutoApe does not guarantee any specific results or profits. 7. Intellectual Property

The Service, including all software, content, features, and functionality, is owned by AutoApe and is protected by international copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the software for personal or business trading purposes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOAPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. THIS INCLUDES ANY FINANCIAL LOSSES RESULTING FROM TRADES EXECUTED THROUGH THE PLATFORM.

9. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may cancel your subscription at any time through your account settings.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

11. Service Availability & Maintenance

AutoApe reserves the right to perform scheduled or emergency maintenance on the Service at any time, with or without prior notice. During maintenance windows, the Service — including market data feeds, bot execution, and analytics — may be temporarily unavailable. AutoApe shall not be liable for any trading losses, missed opportunities, or damages arising from service interruptions, planned or unplanned downtime, degraded performance, or delays in data delivery. You acknowledge that continuous, uninterrupted access to the Service is not guaranteed.

12. Data Accuracy Disclaimer

Market data, price feeds, charts, indicators, analytics, and all other information provided through the AutoApe platform are furnished on an "as is" and "as available" basis for informational purposes only. AutoApe does not guarantee the accuracy, completeness, timeliness, or reliability of any data displayed within the Service. Data may be delayed, incomplete, or contain errors due to third-party data provider limitations, network latency, or system processing. You are solely responsible for independently verifying all data before making any trading or investment decisions. AutoApe shall not be held liable for any losses resulting from reliance on data provided through the platform.

13. Automated Trading Risk Disclaimer

Automated trading bots, strategies, signals, and optimization tools provided through the Service carry inherent and substantial risks. Past performance of any bot, strategy, or signal — whether backtested or live — does not guarantee future results. Market conditions can change rapidly and without warning, and automated systems may execute trades that result in significant financial losses.

AutoApe is not a registered financial advisor, broker-dealer, or investment manager, and does not provide investment advice, recommendations, or solicitations. All trading decisions made through the Service are yours alone. You are solely responsible for evaluating the risks of each trade and for any resulting gains or losses. AutoApe expressly disclaims liability for any financial losses, liquidations, or adverse outcomes resulting from the use of automated trading bots, strategies, signals, or any other feature of the Service. You should not trade with capital you cannot afford to lose.

14. Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Service, or any transaction conducted through the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in the United States, and the arbitrator's decision shall be enforceable in any court of competent jurisdiction.

YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive your right to participate in a class action lawsuit, class-wide arbitration, or any other proceeding where a party acts in a representative capacity. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTOAPE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT AUTOAPE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AUTOAPE'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO AUTOAPE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

16. NO GUARANTEED PROFITS

AUTOAPE DOES NOT GUARANTEE ANY PROFITS, RETURNS, OR SPECIFIC TRADING OUTCOMES. THERE IS NO ASSURANCE THAT ANY STRATEGY, BOT, SIGNAL, OR FEATURE PROVIDED THROUGH THE SERVICE WILL GENERATE POSITIVE RETURNS. TRADING IN FINANCIAL MARKETS IS INHERENTLY RISKY AND MAY RESULT IN THE LOSS OF YOUR ENTIRE INVESTMENT. YOU SHOULD NEVER INVEST MORE THAN YOU CAN AFFORD TO LOSE.

17. Eligibility & Age Verification

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to use the Service. By creating an account, you represent and warrant that you meet this age requirement. You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable in your jurisdiction. The Service is not available in jurisdictions where online trading or automated trading tools are prohibited by law.

18. Tax Obligations

You are solely responsible for determining and fulfilling any tax obligations arising from your trading activity through the Service, including but not limited to capital gains taxes, income taxes, and any other applicable taxes in your jurisdiction. AutoApe does not provide tax advice, does not report your trading activity to tax authorities, and is not responsible for any tax liabilities you may incur.

19. Margin, Leverage & Liquidation Risks

If you engage in margin or leveraged trading through third-party brokers connected to the Service, you acknowledge and accept the heightened risks involved. Leveraged positions can result in losses that exceed your initial deposit. AutoApe is not responsible for margin calls, forced liquidations, or any losses resulting from leveraged trading. You are solely responsible for understanding and managing your margin and leverage exposure.

20. Referral Program

AutoApe offers a voluntary referral program that allows active subscribers to earn subscription credits by referring new users. By participating, you agree to the following:

• You must hold an active, paid subscription to participate and receive credits.
• For each referred user who maintains an active paid subscription, you receive a $1/month credit applied to your next invoice, capped at the price of your own plan.
• Credits are not redeemable for cash, are non-transferable, and have no monetary value outside of reducing your subscription cost.
• If a referred user cancels their subscription, the corresponding credit is removed from your balance.
• You may not use spam, deceptive practices, self-referrals, or any misleading marketing to generate referrals. Violations will result in immediate removal from the program and forfeiture of all credits.
• AutoApe reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice.
• In promotional materials, you must clearly disclose your referral relationship in compliance with FTC guidelines (e.g., "I may earn credits if you sign up through my link").
